These Terms of Service ("Terms") are a legally binding agreement between you and Xignal ("Xignal," "we," "us," "our"), the operator of the website and service available at xignal.pro (the "Service"), operated from Sweden. By ticking the acceptance box, creating an account, or using the Service, you agree to these Terms, our Privacy Policy, and our Disclaimer, which are incorporated into these Terms by reference. If you do not agree, do not use the Service.
Xignal is a market-monitoring and alerting tool. It watches price, volume, and public SEC filings for tickers you choose, and notifies you by email and/or SMS when conditions you configure are met. Alerts are generated mechanically from your own configuration, using the same logic for every user; they are impersonal and are not tailored to your financial situation, objectives, or risk tolerance. Xignal does not execute trades, hold funds, provide brokerage services, or manage any account. We may add, modify, or discontinue features of the Service at any time.
Nothing in the Service constitutes investment, financial, legal, or tax advice, and no advisory, fiduciary, or client relationship is created by your use of the Service. Alerts reflect conditions you configured — not a recommendation to buy, sell, or hold any security. See our Disclaimer for full detail. You are solely responsible for your own trading and investment decisions.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You must provide accurate information when creating an account, keep your login credentials secure, and promptly notify us of any unauthorized use of your account. You are responsible for all activity under your account. You may register one account and use one free trial per person; we may refuse, suspend, or close accounts created to evade trial limits or these Terms.
Market data, quotes, and filing information are supplied by third-party providers and SEC EDGAR and are licensed for your personal, non-commercial use within the Service only. You may not republish, resell, redistribute, or systematically extract market data or alert content. Quotes may be sourced from a subset of market venues and may differ from consolidated or official exchange prices, and data may be delayed or temporarily unavailable. Your access to market data may additionally be subject to the applicable data providers' terms, and you may be required to confirm your status as a non-professional subscriber.
By adding a phone number and enabling SMS alerts, you consent to receive automated, recurring text messages from Xignal at that number. Message frequency varies with the rules you configure. Message and data rates may apply. Reply STOP to any Xignal text to stop SMS alerts, or HELP for help; you can also disable SMS in your account settings. Mobile carriers are not liable for delayed or undelivered messages. Email alerts are sent to your account email address; it is your responsibility to keep that address current and able to receive our messages.
Alerts depend on third-party market data feeds, SEC filing systems, and email/SMS delivery infrastructure outside our control. We do not guarantee that any alert will be generated, delivered, delivered on time, or free of error. Do not rely on Xignal as your sole source of market information for time-sensitive decisions.
You agree not to: (a) reverse-engineer, scrape, or access the Service by automated means other than normal use; (b) resell, redistribute, or make alert data or market data available to third parties; (c) share your account or circumvent plan limits or trial restrictions; (d) use the Service for any unlawful purpose, including in furtherance of market manipulation; or (e) interfere with the operation or security of the Service.
The Service — including its software, design, text, and branding — is owned by Xignal or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal purposes in accordance with these Terms. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.
We may suspend or terminate your account for violation of these Terms, non-payment, or use that creates legal or security risk. You may close your account at any time. Upon termination, your license to use the Service ends. Provisions that by their nature should survive termination (including Sections 5, 9, and 11–15) survive.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, or error-free, or that data will be accurate or complete.
To the maximum extent permitted by law: (a) Xignal and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for trading losses, lost profits, or lost data, arising from your use of or inability to use the Service, or from missed, delayed, or inaccurate alerts; and (b) our total aggregate liability for all claims relating to the Service is limited to the amounts you paid us in the twelve (12) months before the event giving rise to the claim, or USD 50 if you have paid nothing. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
You agree to indemnify and hold harmless Xignal and its operators from any third-party claims, damages, and reasonable costs (including legal fees) arising out of your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.
We are not liable for any delay or failure caused by events beyond our reasonable control, including outages or failures of hosting providers, market-data providers, telecommunications carriers, or the internet, as well as acts of government, natural disasters, or labor disputes.
These Terms are governed by the laws of Sweden, excluding its conflict-of-law rules. Before filing any claim, you agree to contact us at customersupport@xignal.pro and attempt in good faith to resolve the dispute informally for 30 days. Subject to that, disputes will be resolved by the courts of Sweden, with the Stockholm District Court as the court of first instance — except that, if you are a consumer, you retain any protection of the mandatory laws of your country of residence and any right you may have to bring proceedings in your local courts.
We may update these Terms from time to time. For material changes we will give notice (for example, by email or in-app) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms; if you do not agree, stop using the Service and cancel any subscription.
These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the Service.
